Terms of Service

1. Agreement and eligibility

These terms are an agreement between you and Momo AI, Inc. If you use Momo for an organization, you represent that you have authority to bind that organization. You must be at least 18 years old and legally able to enter this agreement.

2. Accounts and access

Provide accurate account information, keep credentials confidential, and promptly tell us about suspected unauthorized access. You are responsible for activity under your account and for the people you authorize. Workspace administrators may manage membership, content, settings, and access.

3. Your content and permissions

You retain ownership of content you submit and output you create, subject to rights in third-party material. You grant Momo a worldwide, non-exclusive, limited license to host, copy, process, transmit, display, and modify content only as needed to provide, secure, support, and improve the service and comply with law.

You represent that you have all rights, notices, permissions, and lawful bases required for source content, personal information, voice, likeness, trademarks, and other media you submit. You are responsible for reviewing generated output before using or distributing it.

4. Momo technology and feedback

Momo and its licensors own the service, software, designs, documentation, models, and related intellectual property, excluding your content. These terms do not grant rights to Momo branding or technology except the limited right to use the service. If you provide feedback, we may use it without restriction or compensation, provided we do not identify you publicly without permission.

5. Acceptable use

You must follow the Acceptable Use Policy and applicable law. You may not bypass security or usage limits, reverse engineer the service except where law permits, access another user’s data, interfere with service operation, or use Momo to create or distribute unlawful, deceptive, abusive, infringing, or harmful material.

6. Plans, usage, payment, and taxes

Prices, included usage, currency, and whether a purchase is one-time or recurring are shown before checkout. You authorize our payment provider to charge the selected amount and applicable taxes. Usage packs do not represent money, are not transferable, and may be used only for eligible Momo services. Except where required by law or expressly stated at purchase, fees and used usage balances are non-refundable.

For a recurring plan, you may cancel renewal before the next billing date and retain access through the paid period unless stated otherwise. We may change future pricing or plan features with reasonable notice where required. Failed, reversed, or disputed payments may result in restricted access or reversal of associated usage.

7. Third-party services

Momo may interoperate with third-party services at your direction. Their terms and privacy practices apply to their services. We are not responsible for third-party services, content, or availability, and may change or discontinue an integration.

8. Changes, suspension, and termination

We may change or discontinue features and may suspend or terminate access when reasonably necessary to address security, legal, payment, or policy risks. You may stop using Momo at any time. On termination, rights granted to you end, but provisions that by their nature should survive will remain in effect, including payment obligations, ownership, disclaimers, liability limits, and dispute terms.

9. Disclaimers

To the maximum extent permitted by law, Momo is provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. AI-generated content may be inaccurate, incomplete, or unsuitable and requires human review, especially for regulated, safety-critical, or customer-facing uses. Nothing in these terms excludes warranties or rights that cannot lawfully be excluded.

10. Indemnity

To the extent permitted by law, you will defend and indemnify Momo and its personnel from third-party claims, damages, and reasonable costs arising from your content, your unlawful use of Momo, or your material breach of these terms. This obligation does not apply to the extent a claim results from Momo’s own breach or unlawful conduct.

11. Limitation of liability

To the maximum extent permitted by law, Momo AI, Inc. is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or loss of profits, revenue, data, goodwill, or business opportunity. Momo’s aggregate liability arising from the service or these terms will not exceed the greater of US$100 or the amount you paid Momo during the twelve months before the event giving rise to the claim. These limits do not apply where liability cannot lawfully be limited.

12. Governing law and disputes

These terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Before filing a claim, each party will try in good faith for 30 days to resolve it after written notice. Except where applicable law provides otherwise, courts located in San Francisco County, California have exclusive jurisdiction. You may bring an eligible claim in small-claims court.

13. General terms

If a provision is unenforceable, the remaining provisions continue in effect. A failure to enforce a provision is not a waiver. You may not assign these terms without our consent; we may assign them as part of a reorganization, financing, sale, or transfer of the service. These terms, referenced policies, and any written order form are the entire agreement for Momo and supersede prior discussions about the same subject.

14. Changes and contact

We may update these terms and will provide notice of material changes where required. Continued use after the effective date means you accept the updated terms.
